Partner/Chair of the M&A practice group
Andrew is a partner in the firm’s Silicon Valley office and chair of the Mergers and Acquisitions practice group. Andrew works with clients across a broad range of industries, including software, internet, big data, life sciences, telecommunications, hardware, and energy and clean technology.
Andrew has negotiated and completed more than 250 M&A transactions involving technology companies with an aggregate value of over $60 billion. He has represented publicly-traded companies such as Cisco Systems, Flextronics, Intuit, Sony, Square and Symantec in numerous purchases of both publicly-traded and privately-held companies as well as business combinations and divestitures. Likewise, he has represented numerous venture-backed companies in their sales to publicly-traded buyers such as Adobe, AOL, Apple, Autodesk, Cadence, eBay, Facebook, Google, Home Depot, Microsoft, Nokia, QLogic, Shutterfly, Telstra, VMware, Wal-Mart and Yahoo. Notable transactions include the sale of WhatsApp to Facebook for over $19 billion, the largest acquisition ever of a venture-backed company, as well as the acquisition by Symantec of Veritas Software for over $13 billion. Andrew has experience counseling boards of directors in regards to mergers and acquisitions and governance and anti-takeover matters and also advises venture-capital firms and other investors in M&A transactions involving their portfolio companies.
Prior to joining the firm, Andrew was a partner at Fenwick and West.
Andrew was selected for inclusion in The Best Lawyers in America in the field of Mergers & Acquisitions from 2012 – 2016.
Andrew received a B.A. from the University of Virginia Phi Beta Kappa in 1993 and a J.D. from Stanford University Law School Order of the Coif in 1996 and is licensed to practice in California.
